Welcome to Chef's Restaurant Store. These Terms of Use ("Terms") govern your access to and use of our website at chefsrestaurantstore.com, our mobile application, and related services (collectively, the "Services") operated by Chef's Restaurant Store ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Account Registration

To place orders, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information, including your full delivery address.
  • Maintain the security of your password and account credentials.
  • Promptly update your information if it changes.
  • Accept responsibility for all activity that occurs under your account.
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

2. Orders & Pricing

Placing Orders

All orders placed through our Services are subject to acceptance and product availability. We reserve the right to refuse or cancel any order at our discretion, including orders where pricing errors have occurred or where we suspect fraudulent activity.

Pricing

All prices are listed in U.S. dollars and are subject to change without prior notice. Prices are updated in real time and reflect current wholesale rates. While we make every effort to ensure pricing accuracy, errors may occur. In the event of a pricing error, we will notify you and give you the option to proceed at the correct price or cancel the order.

Taxes & Fees

Applicable sales tax will be added to your order based on the delivery address. Orders placed with Cash on Delivery (COD) may include a COD processing fee. All taxes and fees will be clearly displayed at checkout before you confirm your order.

3. Payment Terms

Cash on Delivery (COD)

Payment is collected at the time of delivery. You agree to have the full order amount available upon delivery. If payment cannot be collected, we reserve the right to cancel the order and charge a restocking fee.

Net 30 Credit Terms

Approved business accounts may be eligible for Net 30 credit terms. Under Net 30:

  • Payment is due within 30 days of the invoice date, by the end of the billing month.
  • Credit approval is at our sole discretion and may be revoked at any time.
  • Overdue invoices may incur late fees and may result in suspension of credit privileges.
  • We reserve the right to pursue collection of unpaid invoices through appropriate legal channels.

Credit Card Payments

Credit and debit card payments are processed securely through third-party payment processors. Your card information is never stored on our servers. By providing payment information, you represent that you are authorized to use the payment method.

4. Shipping & Delivery

  • We deliver to the address provided at registration or specified during checkout.
  • Delivery times are estimates and are not guaranteed. We will make reasonable efforts to deliver within the estimated timeframe.
  • You are responsible for ensuring someone is available to receive the delivery at the specified address.
  • Risk of loss and title for products pass to you upon delivery.
  • If a delivery cannot be completed due to incorrect address information or unavailability, additional delivery fees may apply.

5. Order Cancellation & Returns

Cancellations

You may request to cancel an order by contacting us as soon as possible. Orders that have already been shipped or are in preparation may not be eligible for cancellation. Cancellations may be subject to a restocking fee of up to 25% of the order value.

Returns

We accept returns under the following conditions:

  • Items must be unused, in original packaging, and returned within 14 days of delivery.
  • Perishable goods, custom orders, and clearance items are non-returnable.
  • Return shipping costs are the responsibility of the buyer unless the return is due to our error.
  • Refunds will be processed within 5-10 business days after we receive and inspect the returned items.

Damaged or Incorrect Items

If you receive damaged or incorrect items, please contact us within 48 hours of delivery with photographs of the issue. We will arrange a replacement or refund at no additional cost to you.

6. Product Information

We make every effort to display product descriptions, images, and specifications as accurately as possible. However, we do not guarantee that product descriptions, images, or other content on our Services are complete, accurate, or error-free. Colors may vary due to screen settings. If a product you receive differs materially from its description, you may return it in accordance with our return policy.

7. Intellectual Property

All content on our Services — including text, images, logos, graphics, software, and design — is the property of Chef's Restaurant Store or its content suppliers and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

  • Use our Services for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to our systems, accounts, or data.
  • Interfere with or disrupt the operation of our Services.

9. Limitation of Liability

We do not warrant that our Services will be uninterrupted, error-free, or secure.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chef's Restaurant Store, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, violation of these Terms, or infringement of any third-party rights.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of our Services shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). You agree that any arbitration shall be conducted on an individual basis and not as a class action.

By creating an account, you consent to receive transactional emails related to your orders, including order confirmations, status updates, delivery notifications, and invoice reminders. You may also receive promotional emails, from which you can opt out at any time. We may also communicate important account or policy changes via email.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
